This is where you can monitor your performance and track your lead commissions. It is also where you will get access to new banners and linking methods over time. TERMS AND CONDITIONS 1) Enrollment in the Program: To begin the enrollment process, you will submit a complete Program application via our site. We will evaluate your application and will notify you of your acceptance or rejection. We may reject your application or terminate this agreement if we determine (IN OUR SOLE DISCRETION) that your site is unsuitable for the Program. Unsuitable sites include those that: A. Promote sexually explicit materials; B. Promote violence; C. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; D. Promote illegal activities; E. Violate intellectual property rights; F. Does not meet the criteria of DegreeWire as a qualified site If we reject your application, you are welcome to reapply to the Program at a later time. You should also note that if we accept your application and your site is thereafter determined (IN OUR SOLE DISCRETION) to be unsuitable for the Program, we may terminate this Agreement. You warrant that all information provided in the Program Application is true and accurate. 2) Term of the Agreements: The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the term. Commissions are due for completed lead forms on the www.degreewire.com Web site only. A lead is not valid if it is a duplication of a previously filled out lead form submission. To be considered a lead a form must also be from one of the predefined zip codes identified on the www.degreewire.com site. 3) Modification: We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. 4) Limitation of Liability: We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under to this Agreement. 5) Independent Investigation: YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. 6) Miscellaneous: This Agreement will be governed by the laws of the United States and the State of Michigan, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Detroit, Michigan, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. 7) Spyware: We will refuse all applications or signups from affiliates which we believe participate in spyware, adware or parasiteware techniques for driving traffic. We reserve the right to research and investigate affiliates and their activities and, at our own discretion, determine whether or not these practices are in place. Affiliates found in violation of this policy will be immediately terminated from the program and will forfeit all commissions. 8) Pay Per Click Search Engine Marketing: You will not take part in the bidding and Search Engine Pay Per Click advertising of any Trademark names for any of the Colleges and Universities available through www.degreewire.com. 9) Spam: We do not condone email marketing or spam in conjunction with the Can-Spam Act of January 1, 2004. Any form of spam will result in your account being placed under review and all funds due being withheld pending an investigation into your account. If Spam is generated, the amount of penalty determined will be fair and deemed final and acceptable based on good faith and such amount will be collectable by law and deemed to have been accepted by yourself as fair and reasonable and as agreed to by registration as a Program participant. Should these expenses not be covered by funds in your account, we reserve the right to investigate other alternative means for obtaining payment, for example, other commissions or purchasing accounts until such a time as the account for damages has been cleared. Should your account not be active and be generating profit through referral fee payments we reserve the right to demand payment from you. We will terminate this agreement immediately if there is any form of spamming or if you discredit DegreeWire or any of the educational institutions included on the www.degreewire.com Web site through false advertising, written or uttered words. 10) Indemnity to DegreeWire and Sitewire: You shall indemnify defend and hold us harmless from any loss, damage, cost, expense, suits, claims, injuries or other liability, including attorney's fees, costs and expenses, as a result of any and all of your acts or omissions, negligent or otherwise, direct or indirect, and/or those associated with any claim by or against you or anyone employed by you or anyone contracted by you to perform any right or obligation under this Agreement or relating to the development, operation, maintenance, and contents of your site. 11) Independent Investigation: YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. 12) Responsibility for Your Site: You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for: o the technical operation of your site and all related equipment o failure to follow the proper setup procedures, testing of the Banner and/or linking the Banner to the www.degreewire.com website and similar procedures o the accuracy and appropriateness of materials posted on your site o ensuring that materials posted on your site are not libelous or otherwise illegal o ensuring that your site accurately and adequately discloses, either through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors' browsers. We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site. Further, you shall be responsible for and you shall assume all risks by conducting your own due diligence in regard to this affiliate program and the other matters listed hereinabove.
